BY-LAWS OF THE NORTH POINT PENINSULA COMMUNITY COORDINATING COUNCIL (NPC) Revised 3/2/2000

 

A. NAME:

The name of the organization will be the North Point Peninsula Community Coordinating Council ("NPC").


B. OBJECTIVE:

  1. To stimulate public interest and concern in civic matters of this community.

  1. To offer leadership in coordinating and correlating the problems of civic nature in this community, and to seek resolution of these problems while obtaining a maximum benefit for the citizens of this community.

  1. To solicit and encourage all residents of this community to become involved for the benefit of the said community.

  1. To stimulate pride in the Historical Heritage of our community and its natural resources.

  1. To assure, to the best of our ability, that the rights of the area residents and property owners will not be infringed upon by the encroachment of undesirable conditions, and that proper zoning be maintained for the betterment of the area.


C. MEMBERSHIP:


All adults residing or conducting business on the North Point Peninsula area, which is defined as southeast of Wise Avenue extended and North Point Boulevard, are eligible for membership.

D. FEES AND DUES:

  1. Membership fees shall be set annually by the Executive Officers.

  1. These fees will be used to maintain the costs of this organization's activities, subject to approval by the majority vote of the Executive Board.

  1. Our fiscal year begins on the first of July and ends on June 30th.


E. OFFICERS AND DUTIES:

  1. Executive Officers and Board of Directors are the governing body of this organization and shall be the Executive Officers assisted by a Board of Directors.

a.      Executive Officers are President, Vice President, Treasurer, Recording and / or Corresponding Secretary and Past President.

b.      The Board of Directors consists of community members who shall be designated as such by the President and approved by the Executive Board.

  1. Elective Officers: The elective officers shall consist of President, Vice President, Treasurer, Recording and / or Corresponding Secretary. They shall hold office for one year or until their successors are elected and duly qualified. To run for office, the nominee must be a member in good standing.

  1. President: It shall be the duty of the President to preside at all general meetings of the organization; to attend all of the Executive Board meetings; to perform such duties as ordinarily pertain to his or her office; to serve ex-officio on all committees.

  1. Vice President: It shall be the duty of the Vice President to preside at general meetings in the absence of the President; to attend Executive Board meetings and to perform such duties as ordinarily pertain to his or her office.

  1. Secretary: It shall be the duty of the Recording/Corresponding Secretary to keep records of the membership, record the attendance at the general meeting, record and preserve the minutes of the general meeting. In addition, the secretary shall send out notices of all meetings of the organization and handle incoming and outgoing correspondence.

  1. Treasurer: It shall be the duty of the Treasurer to have custody of all funds, to make a report at every general meeting, to make an audited report to the organization at its annual meeting in June and at any other time upon demand of the Executive Board and to perform such duties as ordinarily pertain to his or her office. Upon retirement from office, he or she shall turn over to their successor all funds, book of accounts, or any other organization property in their possession, with books of accounts audited. The Treasurer of this organization must be bonded, all checks require two signatures; one of which must be the Treasurer, the other either the President or Vice President.

F. MEETINGS:

  1. Regular meetings of the organization shall be the first Thursday of each month; time and place to be designed by the organization unless prevailing circumstances require rescheduling.

  1. Special meetings may be called at any time by the President or upon a petition filed with the Secretary of the organization requesting a special meeting. Said petition is to designate the object for which the meeting is to be called and be signed by three members in good standing. In such cases, due notice designating the purpose of such meeting must be sent to each member of the organization forty-eight hours before the time set for the meeting.

  1. The annual meeting will be the regular June meeting.

  1. All officers shall be elected and installed at that meeting, however, only those members who have attended three meetings between September 1 and May 31 of the current year shall be entitled to vote.

G. COMMITTEES:

  1. The Program Committee shall consist of three members appointed for a one-year term by the President. The committee shall prepare and arrange programs for regular meetings of the organization.

  1. The Publicity Committee shall consist of three persons appointed by the President who shall secure proper publicity for the organization.

  1. The Nominating Committee shall consist of five persons appointed by the President who shall prepare and submit a slate of officers at the meeting preceding the annual meeting. Members may make additional nominations for each office on the evening of the election.

  1. The Auditing Committee shall consist of three persons appointed by the President and approved by the Board of Directors in November whose duty shall be to audit the books of the Treasurer in December each year.

  1. The By Laws Committee shall consist of five members appointed by the President to review and revise the By Laws [as required] (every four years). Amendments or changes made will follow Section H.

  1. Additional Committees: The President as necessary may appoint committees.

H. AMENDMENTS:

Amendments to the constitution and By Laws may be presented at any regular meeting of the organization. Thereafter, the amendment must be submitted in writing at the next regular meeting. A 3/5 vote of members present is required for passage.
